Social purpose of a foundation: how to write it (with examples)

When a family or a group of neighbors decides to organize themselves into a foundation, they almost always have a very clear dream (to help, build housing, support the children of the neighborhood) but they get stuck when it comes to putting it on paper. That's where the piece that holds the whole legal structure together comes in: the corporate purpose of a foundation. It's the phrase in the bylaws that states, in legally understandable language, the purpose of the organization and what it can and cannot do. Drafting it correctly isn't just another formality; it's what allows you to later open a bank account, enter the special tax regime with the Colombian Tax Authority (DIAN), and approach donors without being met with disapproval.

At Hepacom, we are a foundation (a non-profit organization) working to promote decent housing in Itagüí, so this is a text we also had to draft and refine. This guide is for informational purposes; the incorporation and registration are handled by the Chamber of Commerce and the DIAN (National Tax and Customs Directorate).

What is the social purpose of a foundation?

The purpose of a foundation is the statement, within its bylaws, that defines its objective and the specific activities it will carry out to achieve it. It is the "why" of the entity, written with sufficient precision so that a third party (a bank, a judge, the tax authority) understands what it does without having to guess.

It's not the same as the nice mission statement on the website. The mission inspires; a foundation's social purpose empowers. Everything the foundation does must fit within that purpose, because if it falls outside of it, those actions may lack legal backing. That's why it's conceived from the articles of incorporation and it is fine-tuned when assembling the step-by-step foundation.

Why is the corporate purpose so important for a non-profit organization?

Because three important things depend on it. First, the tax benefit: to enter and remain in the Special Tax Regime, the foundation's activities must be those that the Tax Code calls "meritorious" (education, health, housing, culture, among others). If the purpose doesn't fit that description, the DIAN (Colombian Tax Authority) can deny you the regime.

The second is trust: donors and allies examine the object to determine if their money will go where they intend. And the third is daily operations, because contracts, agreements, and even bank accounts are all checked against this object. How to write the company's purpose step by step?

A good company's mission statement has three layers that should be written in order. This table separates them so you don't forget any.

The practical rule for drafting a foundation's bylaws is to write a broad yet coherent statement: open enough to grow over time, but without becoming a catch-all that claims the foundation does everything, because that raises suspicions with the tax authorities. Always close with a clause such as "and other related activities that allow the foundation to fulfill its purpose," which provides clarity without obscuring the objective.

Common mistakes when drafting the company's purpose

  • Copy and paste from another foundation: You end up with an object that doesn't describe what you do and that may include activities that aren't meritorious. Adapt it to your actual situation.
  • Introduce disguised profit motives: A non-profit organization can have income, but not distribute profits. If its purpose suggests distribution or benefit to the founders, it loses its non-profit status.
  • Being so specific that it pigeonholes you: If you write "build 20 houses in neighborhood X," the day you want to do something else, you'll be excluded from the project. Describe the purpose, not a specific goal.

Can the corporate purpose be modified afterwards?

Yes, but it's not a change that can be made overnight. Modifying the company's purpose requires convening the shareholders' meeting or the board of founders, approving the amendment with the majorities stipulated in the bylaws, and registering that amendment with the Chamber of Commerce. If the change affects the company's core business activities, the tax authority (DIAN) must also be notified.
